An investigation of IP due diligence in the context of a portfolio or company acquisition.  IP assets drive many merger and/or acquisition strategies.  The speakers explored how to analyze a target patent portfolio with respect to the acquiring company’s business goals, including pre-confidentiality problems, evaluation of target IP and/or products, and ownership and transferability issues.  Also, an investigation of NDAs as well as best strategies for the acquisition target’s IP counsel, such as tailoring disclosures and complying with obligations to third parties.  The speakers used case studies to demonstrate these principles in practice.
